Terms of Service

These Terms govern your use of EggWire, operated by EggWire LLC, a Michigan limited liability company ("EggWire", "we", "us"). By creating an account, buying a subscription, or using the service, you agree to these Terms. If you use EggWire on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. What EggWire is

EggWire is a news monitoring service for the egg and poultry industry. We monitor published sources — including government agencies, trade press, company announcements and regulatory filings — and provide summaries, alerts and market data. Every story links to its original source. We do not independently verify, endorse or guarantee third-party source material.

EggWire is an information service. It is not a consultant, veterinarian, broker, emergency notification system, or advisor of any kind, and it does not provide legal, regulatory, veterinary, biosecurity, financial, trading, or other professional advice.

2. Your account

You must provide accurate information, keep it current, and keep your password secure. You are responsible for activity under your account. One account is for one person — Team plans exist so that colleagues each have their own.

Do not use EggWire to break the law, attempt to disrupt or gain unauthorized access to it, scrape or redistribute our content wholesale, resell access, or use the service to train, develop, or operate a competing product. We may suspend or close an account for any of these, and we will tell you why unless doing so would create legal, security, or operational risk.

3. Subscriptions, renewal and cancellation

Plans and prices are shown at checkout before you pay, excluding any applicable taxes unless we state otherwise. Current plans are Pro at $29/month or $199/year, and Team at $799/year including 5 seats with additional seats at $149 each per year.

Free trials. Where a trial is offered, we tell you the length, the price that follows, the renewal interval, and the date of the first charge, both at checkout and by email before the charge occurs. If you provide a payment method for a trial, you authorize us to charge it when the trial ends unless you cancel first.

Auto-renewal. By buying a subscription, you authorize EggWire to charge your payment method automatically at the stated price and renewal interval until you cancel. You may cancel at any time from Manage billing in your account. It takes one click and requires no email or phone call. Cancel before a renewal date and you are not charged for the next period. Cancel during a free trial and you are not charged at all. We will send renewal reminders and other auto-renewal notices when required by law.

Refunds. We are not obliged to refund a period already begun, but if something has gone wrong, write to us and we will deal with it fairly rather than pointing at this sentence. Nothing in this paragraph limits rights you may have under applicable law.

Price changes apply from your next renewal, and we will tell you by email before they take effect. If you do not agree to the new price, cancel before the renewal date and the old subscription will end without renewing.

4. Team plans

The account that purchases a Team plan administers it and is responsible for payment. Seats may be added at any time; the subscription price adjusts accordingly. Each member holds their own account, sets their own preferences, and their reading is private from the administrator and from other members.

5. Content and copyright

Ours. EggWire's summaries, analysis, page design and compilation are our copyright. You may read them, use them in your own business, and quote them with attribution. You may not republish them wholesale or build a competing product from them.

Third-party content. Original publishers own their own work. We summarize facts, headlines, government releases and reporting in our own words, attribute and link to the source, and may use limited quotations or public-domain material when appropriate. We do not grant you any rights in third-party content.

Copyright complaints. If you believe we have infringed your copyright, write to [email protected] identifying the material, the original work, the rights owner, and how to contact you. We will investigate promptly, remove or disable access to material where appropriate, and may restore material if we conclude it is lawful. We honor robots.txt and do not crawl sources that decline automated access.

6. Accuracy, and the limits of what this service can promise

Please read this section. It is the one that matters.

EggWire reports what published sources say. We do not confirm detections, recalls, outbreaks, pricing, market conditions, or other reported events ourselves, and we do not publish a detection, recall or outbreak that cannot be traced to a primary source. You are responsible for deciding whether, when, and how to act on any information you receive through EggWire.

We cannot guarantee that EggWire is complete, timely, or correct. Sources publish late, publish inaccurately, change what they have published, or do not publish at all. Automated summarization and classification make mistakes. Alerts can be delayed or fail to arrive for reasons inside or outside our control — an email provider outage, a device with notifications disabled, a source that goes quiet.

Do not rely on EggWire as your only source for a decision that matters. EggWire is not an emergency alert system and is not a substitute for government notices, regulator communications, veterinary advice, biosecurity protocols, market data providers, or your own professional advisers. Biosecurity, animal movement, market and commercial decisions should be made against primary sources and your own independent judgment. EggWire links to the original for every story precisely so you can check it.

EggWire is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, availability, timeliness, completeness, accuracy, security, and uninterrupted or error-free operation.

If we get something wrong, tell us. We may correct, update or remove it and date the correction, but our correction process does not create any duty to monitor or verify sources beyond the commitments in these Terms.

7. Limitation of liability

To the fullest extent the law allows, EggWire LLC and its owners, officers, employees, contractors, vendors and affiliates are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, lost livestock, production losses, biosecurity losses, substitute services, or business interruption, arising out of or relating to the service, these Terms, or any alert, summary, market data or source link that was late, wrong, incomplete, unavailable, or never arrived, whether based on contract, tort, negligence, strict liability, statute or any other legal theory, even if we were advised that the loss was possible.

To the fullest extent the law allows, EggWire LLC's aggregate liability for all claims arising out of or relating to the service or these Terms is limited to the greater of (a) the amount you paid us for the service in the twelve months before the event giving rise to the claim or (b) $100.

Some jurisdictions do not allow some exclusions or limits of liability, so those exclusions or limits apply only to the fullest extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.

8. Changes to the service and to these Terms

We may change the service as it develops. If we change these Terms in a way that materially affects your rights or obligations, we will tell you by email or in-product notice before the change takes effect, and continuing to use EggWire after that means you accept it. If you do not accept the change, cancel. If a material change takes effect during a paid subscription period and you cancel because of it, contact us about a prorated refund of the unused period.

9. Ending your account

You may close your account at any time. We may suspend or close an account that breaches these Terms, that is used to disrupt the service, or where we are legally required to. Where we close an account that has done nothing wrong, we will refund the unused portion.

10. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Subject to any law that gives you the right to bring a claim elsewhere, the state and federal courts located in Kent County, Michigan have exclusive jurisdiction and venue over disputes arising out of or relating to these Terms or the service, and you consent to personal jurisdiction there.
